01Eligibility

02Scope of Services
TaxPro HQ Software provides access to professional tax software solutions, business technology, CRM resources, digital products, training, online communities, onboarding, technical support, business resources, and related services.
The specific products, services, features, and support available to you depend on your purchase, subscription, selected package, or applicable order form.
Certain products and programs may have additional terms, policies, licensing requirements, or written agreements. Those additional terms apply only to the product or program they address. If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement will control for the service covered by that agreement.
03Account Registration
Some services require an account. You agree to provide complete, accurate, and current information when creating and maintaining your account.
You are responsible for protecting your username, password, authentication codes, and other account credentials. You may not share your credentials with unauthorized individuals or permit another business to access services through your account.
You are responsible for all activity conducted through your account by you and your authorized users. You must contact TaxPro HQ immediately at [email protected] if you believe your account has been accessed without permission or your credentials have been compromised.
04Limited License
TaxPro HQ grants you a limited, revocable, nonexclusive, and nontransferable right to access and use the website, software, content, and resources included with your purchase.
This access is provided for your authorized personal or internal business use. It does not give you ownership of TaxPro HQ software, platforms, branding, systems, templates, training, technology, or intellectual property.
You may not transfer, sublicense, resell, distribute, or provide another business with access unless your selected program specifically permits that activity or you receive written authorization from TaxPro HQ.
05Acceptable Use
You agree to use our website and services lawfully, responsibly, and in accordance with these Terms.
You may access the software, training, templates, support, community, and business tools included with your purchase. You are responsible for determining whether those products and resources are suitable for your business and intended use.
You must comply with all applicable federal, state, and local laws, professional requirements, software restrictions, privacy requirements, and third party provider rules while using our services.
06Prohibited Conduct
You may not copy, reproduce, publish, scrape, resell, sublicense, distribute, reverse engineer, decode, modify, or create derivative or competing products from our website, software, digital products, training, templates, workflows, or technology without written authorization.
You may not attempt to bypass security controls, gain unauthorized access, introduce harmful code, interfere with platform performance, misuse another person’s credentials, impersonate another person or business, upload fraudulent information, violate another party’s rights, or use our services for deceptive, unlawful, abusive, or fraudulent purposes.
Automated data collection, scraping, crawling, or extraction from our website or platforms is prohibited unless expressly authorized in writing.
TaxPro HQ may investigate suspected misuse and restrict or terminate access when necessary to protect our business, technology, users, or third party providers.
07Software & Platform Access
When software access is included with your purchase, your right to use the software remains subject to your selected package, payment status, these Terms, and any applicable provider requirements.
Software providers, integrations, features, system requirements, and availability may change. TaxPro HQ may update, replace, modify, limit, or discontinue a feature when reasonably necessary because of provider changes, security concerns, platform improvements, legal requirements, or business operations.
TaxPro HQ does not guarantee that a specific software product, integration, feature, operating system, device, or third party service will remain available indefinitely.
08Orders & Pricing
Prices, included services, usage limits, payment schedules, and purchase requirements are displayed on the applicable sales page, checkout page, invoice, proposal, or order form.
You agree to review all purchase information before completing a transaction. You must provide accurate billing information and maintain a valid payment method for subscriptions and other services that require recurring or usage based billing.
TaxPro HQ may correct pricing, product descriptions, or typographical errors. If a material pricing error affects a completed purchase, we may cancel the affected order and issue an appropriate refund or give you the option to proceed at the corrected price.
09Payments & Usage Charges
By completing a purchase, you authorize TaxPro HQ and its payment processors to charge your selected payment method for the amount presented at checkout or stated in your invoice, proposal, or order form.
Certain services may include additional usage charges for text messaging, email delivery, telephone services, artificial intelligence features, payment processing, storage, premium integrations, or other metered activity. When applicable, usage rates will be disclosed through the service, checkout process, pricing page, or account dashboard.
You remain responsible for charges incurred through your account by you or your authorized users. Failure to pay an amount when due may result in restricted or suspended access.
10Subscriptions & Automatic Renewals
Some TaxPro HQ services are provided through recurring subscriptions. When you enroll in a recurring service, you authorize TaxPro HQ and its payment processor to charge your payment method at the billing frequency disclosed during enrollment.
Your subscription will continue until canceled. You must cancel before the next billing date to prevent the next recurring charge. Unless otherwise disclosed, cancellation becomes effective at the end of the current paid billing period.
Cancellation does not remove charges incurred before the cancellation became effective. Outstanding subscription balances, usage charges, customization fees, and other previously incurred amounts remain due.
Promotional, trial, founder, and introductory pricing may convert to the regular subscription rate disclosed when you enroll. We may modify subscription pricing by providing any notice required by applicable law.
11Cancellation
Cancellation instructions may be provided through your account, billing portal, service documentation, or by contacting [email protected].
You are responsible for completing the cancellation process. Removing a payment method, failing to use the service, or abandoning an account does not automatically cancel an active subscription.
When a subscription is canceled, access may remain available through the end of the current paid billing period. Unless otherwise stated, unused time is not prorated or credited.
12Refund Policy
Because TaxPro HQ provides digital products, software access, system provisioning, downloads, training, onboarding, and immediately available resources, purchases are generally nonrefundable once access has been granted, delivery has occurred, provisioning has started, onboarding has begun, or customized work has commenced.
A different refund policy may apply when it is expressly stated on the sales page, checkout page, invoice, proposal, or written order form. Any required refund rights provided by applicable law will continue to apply.
Failure to use a service, attend onboarding, complete training, provide requested information, operate during tax season, or meet a third party requirement does not automatically qualify a purchase for a refund.
13Payment Disputes & Chargebacks
If you believe a charge is incorrect, you should contact TaxPro HQ at [email protected] so we can review the transaction and attempt to resolve the issue.
Initiating a chargeback or payment dispute does not automatically cancel an active subscription or eliminate a valid payment obligation. You remain responsible for properly canceling recurring services according to these Terms.
When a chargeback or payment dispute is filed, TaxPro HQ may suspend access to the associated products or services while the dispute is reviewed. We may provide the payment processor or financial institution with relevant records, including checkout disclosures, invoices, account activity, login history, digital delivery records, communications, and evidence of service access.
If a payment is reversed but the underlying charge is determined to be valid, TaxPro HQ may seek payment of the outstanding balance and any reasonable processing or collection costs permitted by law. Nothing in this section prevents you from exercising a legitimate right to dispute an unauthorized or incorrect charge.
14Digital Products & Training Resources
Digital downloads, courses, guides, templates, videos, workflows, checklists, and training materials are licensed to the original purchaser for the authorized use included with the purchase.
Purchasing or completing training does not guarantee certification, licensing, EFIN approval, bank approval, software provider approval, clients, income, profitability, business growth, tax return volume, or professional competency.
You may not share course credentials, reproduce training, distribute templates, teach our proprietary materials, upload our content to another platform, or sell products derived from TaxPro HQ resources without written permission.
15Community Participation
Access to a TaxPro HQ community may be included with certain products or services. Community members are expected to behave professionally and protect confidential or sensitive information.
You may not post unlawful, threatening, discriminatory, defamatory, deceptive, infringing, or harmful content. You may not use the community to distribute malware, collect information without permission, solicit members improperly, or disclose confidential taxpayer or client information.
TaxPro HQ may moderate, remove, or restrict content or community access when reasonably necessary to protect members, confidential information, platform operations, or the integrity of the community.
16Electronic Communications
By creating an account, making a purchase, submitting a form, or contacting TaxPro HQ, you agree to receive electronic communications regarding your account, purchases, billing, security, appointments, support requests, software updates, and service announcements.
Electronic communications may be delivered by email, account notification, portal message, or another electronic method provided through the service.
You may unsubscribe from promotional emails by using the unsubscribe link included in the message. Opting out of promotional emails will not prevent us from sending necessary account, billing, security, support, transaction, or legally required communications.
17SMS & A2P Messaging Terms
When you provide your mobile number and consent to receive text messages, you authorize TaxPro HQ Software to send SMS or MMS messages concerning appointments, reminders, account notifications, service updates, support, educational information, and promotional offers.
Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase.
Reply STOP to unsubscribe from text messages. Reply START to subscribe or resume messages. Reply HELP for assistance. You may also contact [email protected] or call (833) 805-8299.
18User Content
You retain ownership of the documents, messages, logos, images, business information, and other content you submit through our services.
You grant TaxPro HQ a limited right to host, store, process, transmit, display, and use that content as reasonably necessary to provide the requested services, maintain security, process payments, address support requests, comply with legal obligations, and enforce these Terms.
You represent that you have the legal right and all necessary permissions to submit the content you provide. You may not upload content that violates another party’s privacy, intellectual property, contractual, or other legal rights.
19Privacy
Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy.
You are responsible for reviewing the Privacy Policy before providing personal information through our website or services.
You are also responsible for obtaining any authorization or consent required before submitting information concerning another person through our platforms.
20Intellectual Property
The TaxPro HQ name, logos, website, software, portal, graphics, videos, courses, digital products, templates, documents, workflows, automations, designs, text, code, and other original content are owned by TaxPro HQ Software or its licensors and are protected by applicable intellectual property laws.
Except for the limited use authorized by your purchase, no right, title, or ownership interest is transferred to you.
You may not use TaxPro HQ names, logos, branding, or materials in a way that suggests an unauthorized partnership, endorsement, certification, affiliation, or ownership relationship.
21Feedback
If you submit suggestions, ideas, reviews, recommendations, or other feedback concerning our services, you give TaxPro HQ permission to use that feedback to evaluate, develop, market, or improve our services without compensation or obligation to you.
This provision does not give TaxPro HQ ownership of your confidential business information or personal information.
22Third-Party Services & Links
Our website and platforms may include products, links, or integrations provided by tax software companies, payment processors, communication providers, hosting providers, banks, electronic signature services, mobile applications, and other independent third parties.
Third party products and services are governed by their own terms, policies, pricing, eligibility requirements, and privacy practices. TaxPro HQ does not control and cannot guarantee their continued availability, security, approval decisions, processing times, performance, pricing, or policies.
TaxPro HQ is not responsible for losses caused solely by the acts, omissions, downtime, restrictions, or decisions of an independent third party.
23Service Availability
TaxPro HQ works to maintain reliable access to its website and services, but uninterrupted, error free, or completely secure access is not guaranteed.
Access may be temporarily limited because of maintenance, updates, platform changes, provider outages, technical problems, cybersecurity events, emergencies, or circumstances outside our reasonable control.
TaxPro HQ may update or modify its website, products, features, and service offerings as the platform and business develop.
24No Professional Advice
TaxPro HQ provides software, technology, education, support, and business resources. Unless services are specifically provided through a separate professional engagement, website content and general support do not constitute legal, financial, accounting, tax, regulatory, or cybersecurity advice.
TaxPro HQ does not prepare, review, approve, sign, or guarantee tax returns prepared by users of third party tax software.
You remain responsible for making decisions concerning your business, clients, professional obligations, and use of information obtained through our services. You should consult a properly qualified professional when advice is needed for a specific situation.
25Disclaimer of Warranties
To the fullest extent permitted by law, our website, software access, content, digital products, and services are provided on an “as is” and “as available” basis.
TaxPro HQ does not guarantee uninterrupted access, compatibility with every device or system, correction of every error, achievement of specific results, profitability, business growth, customer acquisition, licensing approval, or suitability for every user’s individual needs.
Any warranties that cannot legally be excluded will apply only to the minimum extent required by law.
26Limitation of Liability
To the fullest extent permitted by law, TaxPro HQ Software and its owners, employees, affiliates, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your access to or inability to use our website, software, products, or services.
TaxPro HQ is not responsible for lost income, lost profits, lost business opportunities, loss of data, service interruptions, software provider decisions, tax return rejections, government actions, bank decisions, payment processor decisions, or third party platform failures.
If TaxPro HQ is found liable for a claim, the total liability will not exceed the amount you paid directly to TaxPro HQ for the product or service giving rise to the claim during the twelve months preceding the event.
Some jurisdictions do not allow certain liability limitations. Where those restrictions apply, this section will be enforced only to the extent permitted by law.
27Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TaxPro HQ Software, its owners, employees, contractors, affiliates, licensors, and service providers from claims, damages, losses, liabilities, judgments, costs, and reasonable legal expenses resulting from your unlawful use of the services, violation of these Terms, infringement of another party’s rights, or content submitted through your account.
This obligation does not apply to the extent a claim is caused solely by the intentional misconduct of TaxPro HQ Software.
28Suspension & Termination
TaxPro HQ may suspend or terminate access because of nonpayment, fraudulent activity, security concerns, prohibited conduct, misuse of services, violation of these Terms, or activity that may harm TaxPro HQ, another user, or a third party provider.
When access ends, your right to use protected software, account features, licensed content, and TaxPro HQ resources also ends.
Termination does not eliminate outstanding payment obligations. Provisions concerning payment, intellectual property, disclaimers, liability, indemnification, disputes, and other obligations that should reasonably continue will survive termination.
29Data Following Termination
Following cancellation or termination, access to information stored within an account may be limited or removed in accordance with our retention practices and the capabilities of the applicable platform.
You are responsible for exporting and securely retaining information your business is legally or operationally required to maintain before your access ends.
TaxPro HQ does not guarantee that account content will remain available after cancellation or termination, except when retention is required by applicable law.
30Force Majeure
TaxPro HQ will not be responsible for a delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, war, civil unrest, labor disruptions, government actions, power failures, internet failures, cybersecurity events, communication network outages, provider interruptions, or failures of third party platforms.
31Governing Law & Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Any legal proceeding relating to these Terms or the use of our website must be filed in a state or federal court with proper jurisdiction in Texas, unless applicable law requires another location.
Before filing a legal proceeding, you and TaxPro HQ agree to make a reasonable good faith effort to resolve the dispute informally by providing written notice describing the dispute and the requested resolution.
32Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the greatest extent permitted by law. The remaining provisions will continue in full effect.
33No Waiver
A delay or failure by TaxPro HQ to enforce any provision of these Terms does not waive our right to enforce that provision or another provision later.
34Assignment
You may not transfer or assign your rights or obligations under these Terms without written permission from TaxPro HQ.
TaxPro HQ may transfer these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or transfer of the applicable business or service.
35Changes to These Terms
TaxPro HQ may update these Terms to reflect changes in our services, technology, business practices, provider requirements, or legal obligations.
The updated version will be posted on this page with a revised effective date or updated date. When required, additional notice may be provided through email, account notification, or the applicable service.
Your continued use of the website or services after updated Terms become effective constitutes acceptance of those updated Terms.
36Entire Terms
These Terms, the Privacy Policy, applicable checkout disclosures, and any additional terms presented for a particular product constitute the complete understanding concerning your use of the website and general TaxPro HQ services.
These Terms do not replace a separately signed partner, reseller, service bureau, software licensing, customization, or professional services agreement.
